Standard Terms & Conditions

1. Definitions

For the purpose of this agreement:

  • “Client” means the commissioning party and shall include, where applicable, agencies, intermediaries, advertisers, or direct clients, together with their respective assignees, sub-licensees, and successors in title.
  • “Creative Work” means all audiovisual and photographic material furnished by Streeem, including but not limited to raw or edited video footage, photographic images (digital or print), and any other electronic materials produced by Streeem.

2. Copyright

The entire copyright in any Creative Work filmed, photographed, recorded, or created by Streeem (or its employees, agents, or subcontractors) is retained by Streeem at all times throughout the world.

3. Ownership of Materials

All video footage, photographic images, and creative assets remain the sole property of Streeem.

4. Usage Rights

The Client is granted a license to use the Creative Work for its intended business purposes (including advertising, promotion, internal and external communications). Streeem retains the right in all cases to use the Creative Work, in whole or in part, for its own promotional purposes, including but not limited to showreels, websites, award submissions, and social media.

5. Client Confidentiality

Streeem will treat as confidential and will not disclose to any third party any material or information communicated in confidence by the Client, except as reasonably necessary to enable Streeem to perform its obligations in relation to the commission.

6. Indemnity and Clearances

  • Streeem shall obtain all necessary clearances for material it supplies (e.g. licensed music, stock footage, stock photography, third-party graphics) where this has been expressly agreed in writing before production. In such cases, Streeem indemnifies the Client against claims arising from its failure to obtain such clearances.
  • The Client is responsible for obtaining all clearances relating to materials it supplies (e.g. logos, trademarks, brand assets, appearances, likenesses, or locations) and will indemnify Streeem against claims, expenses, or damages arising from its failure to obtain such clearances.

7. Payment

Payment is due within 15 days of the date of invoice unless otherwise agreed in writing. Streeem reserves the right to charge interest and recovery costs on overdue payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

8. Additional Expenses

Where additional expenses or time are incurred by Streeem as a result of alterations to the original brief by the Client, or otherwise at their request, such expenses will be subject to prior approval and charged at Streeem’s standard rates in addition to any incurred costs.

9. Rejection

Unless a rejection fee has been agreed in advance, there shall be no right to reject Creative Work on the basis of style or composition. Reasonable revisions within the agreed brief are permitted, but substantial changes outside the agreed scope may be charged at Streeem’s standard rates.

10. Cancellation & Postponement

A booking is considered firm as from the date of confirmation via email and accordingly Streeem will charge a fee for cancellation or postponement as set out below:

Postponement

  • Within 7 days of the first day of production: 100% of the total production fee, plus all incurred out-of-pocket expenses.
  • Within 14 days of the first day of production: 50% of the total production fee, plus all incurred out-of-pocket expenses.

Cancellation

  • Within 7 days of the first day of production: 100% of the total project fee, plus all incurred out-of-pocket expenses.
  • Within 14 days of the first day of production: 50% of the total project fee, plus all incurred out-of-pocket expenses.
  • Beyond 14 days of the first day of production: 20% of the total project fee, plus all incurred out-of-pocket expenses.

11. Electronic Storage

Raw footage, photographic images, and Creative Work will be stored electronically by Streeem for a period of 12 months from the date of the last commissioned project, unless otherwise agreed in writing. Retrieval or use beyond this period may be subject to additional archive and handling fees. Manipulation of the Creative Work, or use of any part thereof, requires prior written consent from Streeem.

12. Liability

Streeem’s liability in respect of any claim, whether in contract, tort, or otherwise, shall be limited to the total fees paid under the relevant commission. Streeem shall not be liable for any consequential, indirect, or special losses.

13. Force Majeure

Streeem shall not be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including but not limited to acts of God, illness, accidents, equipment failure, strikes, transport disruption, or government restrictions.

14. Applicable Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.

15. Variation

These Terms & Conditions may only be varied by written agreement signed by both parties.
